Overview

Mark G. Wendaur IV is a partner in the firm’s Corporate & Business Law and Commercial Real Estate practices. He represents family-owned and privately held businesses, family offices, investors, and lenders on corporate, real estate, and other commercial legal matters. 

Entrepreneurship Through Acquisition

Mark advises independent sponsors, search fund entrepreneurs, and family offices on acquisitions and direct investments in lower middle market businesses. His work also includes corporate governance, capital raising, financing, and other strategic transactions. He focuses on aligning legal structure with financial outcomes, risk allocation, and deal execution.

Mark also regularly writes and speaks on entrepreneurship through acquisition topics, focusing on the search process, acquisition financing, deal execution, and post-close operations.

Corporate

Mark's corporate practice includes drafting and negotiating commercial agreements, advising on corporate governance matters, mergers and acquisitions, and financing arrangements, including debt, private credit, and equity financing. Clients also engage Mark to serve as outside general counsel on legal and commercial matters that arise in day-to-day operations.

Commercial Real Estate

Mark represents clients in real estate transactions and land use matters. His transactional practice regularly includes purchase and sale agreements, ground leases, easements, joint venture and ownership arrangements, transfer tax guidance, shared access agreements, and mortgages. Mark’s land use and entitlement practice includes representation before municipal zoning hearing boards and planning commissions throughout Pennsylvania. His real estate practice also extends to renewable energy and infrastructure matters involving solar generation and storage leases, project acquisitions, title matters, project due diligence, and tax credit investor transactions.

  • Represented the seller in the $360 million equity sale of an international consumer goods retailer to a public company.

  • Represented the seller in the $160 million equity sale of a majority interest in a mechanical and commercial contracting company to a private equity firm.

  • Represented a hospitality company in a $50 million financing transaction.

  • Represented the seller in a $32 million equity sale of a shipping and packaging company to a private equity company.

  • Represented the seller in a $24+ million equity sale of a shipping and packaging company to a private equity company

  • Represented the purchaser in a $24+ million equity acquisition of an international pet supply and marketing company.

  • Represented a specialty materials company in a $20 million financing transaction.

  • Represented the seller in the $11.5+ million sale of a regional wealth management firm to a national wealth advisor.

  • Represented the purchaser in the acquisition and financing of a luxury appliance distributor.

  • Represented numerous clients in acquisitions of professional services, consulting, and healthcare businesses.

Real Estate Transactions Representative Matters

  • Conducted due diligence for a $200 million solar development portfolio, including leases, title, financing, zoning, permitting, and governmental approvals.

  • Represented the purchaser in the acquisition of a $25+ million solar project portfolio.

  • Represented the purchaser in the acquisition, financing, development, and subsequent sale of more than 130 residential building lots in a transaction valued at more than $13 million.

  • Represented clients in the acquisition and financing of numerous hospitality properties affiliated with national chains, with values ranging from $5-10 million.

  • Represented clients in the acquisition and financing of retail, industrial, and international investment properties, including two national chains of convenience stores.

  • Represented seller in the sale of more than 2,400 acres of oil and gas assets, including producing wells.

  • Represented investors in the development of a luxury resort in Zanzibar, Tanzania.

  • Represented investor in the purchase of a $3.1 million Costa Rica investment property.

Land Use and Development Representative Matters

  • Secured eighteen zoning variances for the development of a 7-Eleven convenience store and adjacent bus station.

  • Obtained a special exception from the Philadelphia Zoning Board of Adjustment for restaurant use.

  • Represented an international solar developer in obtaining a special exception for construction of a 6 MW solar facility on approximately 30 acres.

  • Served as solicitor to zoning hearing boards reviewing applications for variances and special exceptions related to the expansion of nonconforming uses (marijuana dispensary), new construction of medical buildings, and construction of digital billboards.

  • Served as solicitor to planning commissions reviewing subdivision and land development applications, including a significant mixed-use development project.
