Pashman Stein Walder Hayden P.C. Welcomes Corporate and Real Estate Partner Mark G. Wendaur, Expanding Philadelphia Office
Pashman Stein Walder Hayden P.C. is pleased to announce that Mark G. Wendaur has joined the firm as a partner in the firm’s Corporate & Business Law and Commercial Real Estate practices, based in the Philadelphia office. His arrival continues the growth of the firm's Philadelphia office, which opened in March 2025.
“I’m excited to join Pashman Stein at a time when the Philadelphia market is seeing real growth in M&A and entrepreneurship-through-acquisition activity. The firm’s regional platform and collaborative culture make it the right place to deepen these capabilities,” said Wendaur.
“Mark brings significant depth to both our corporate and real estate practices, with particular strength advising acquisition entrepreneurs and family offices,” said Pashman Stein Managing Partner Michael S. Stein. “His transactional experience integrating legal strategy with commercial reality is an asset to our clients, and we welcome him to the firm and to our Philadelphia office.”
Wendaur works with clients on acquisitions and direct investments in lower-middle-market businesses, with a particular focus on entrepreneurship-through-acquisition matters. His work includes corporate governance, capital raising, financing, and other strategic transactions. He focuses on aligning legal structure with financial outcomes, risk allocation, and execution, particularly in the critical stages of a transaction where deals tend to stall, retrade, or fail. In buy-side transactions, clients frequently continue to engage Wendaur as outside general counsel to assist with legal matters arising in day-to-day operations.
His broader corporate practice includes mergers and acquisitions, commercial contracts, corporate governance, and financing. Wendaur advises clients throughout the transaction lifecycle, from initial structuring and letters of intent through diligence, negotiation, closing, and post-closing matters. He represents borrowers, lenders, investors, sponsors, and privately held businesses in financing transactions, including acquisition financings, senior and subordinated debt, seller notes, private credit arrangements, and other secured financings.
Wendaur also represents clients in commercial real estate transactions and land use matters, including acquisitions, dispositions, development, leasing, and financing across industrial, multifamily, office, retail, and hospitality properties. His real estate practice also includes renewable energy and infrastructure matters involving utility-scale solar generation and storage projects, site acquisition and leasing, title matters, project acquisitions, and project diligence.
