Overview

Matthew S. Decker is an associate in the firm’s Litigation and Corporate & Business Law practices, where he focuses his practice on complex business disputes and corporate counseling. Drawing from both large firm and in-house experience, he brings a practical, business-focused approach to managing risk, developing case strategy, and partnering with clients to support their broader objectives.  Matt has broad experience advising clients on how to optimize their use of emerging technologies while mitigating the uncertainties of developing legal and regulatory frameworks.  He is an IAAP- Certified Information Privacy Professional.

Prior to joining the firm, Matthew served as Senior Counsel in Chubb Insurance’s Global Corporate Transactions group, advising cross-functional stakeholders on privacy, cybersecurity, and AI governance issues, and negotiating complex commercial transactions, including technology, data, and software licensing (including SaaS and AI-enabled solutions), outsourcing, professional services, and vendor arrangements. Previously, Matthew was a senior associate at Duane Morris LLP, representing multinational clients in high-stakes litigation in federal and state courts, with experience spanning the transportation and logistics, life sciences, and healthcare industries.

Certain of the matters below were handled by Matthew prior to his joining Pashman Stein Walder Hayden P.C.:

Litigation

  • Represented a health system in southern New Jersey against a specialty hospital in commercial litigation in New Jersey state court whereby the specialty hospital claimed that health system’s acquisition of a hospital in 2019 caused the acquired hospital to breach a restrictive covenant in a contract with the specialty hospital, and resulted in the health system inducing the alleged breach and competing unfairly with the plaintiff. This matter was resolved by mutual agreement of the parties and dismissed in its entirety with prejudice.
  • Represented international automotive manufacturer in putative class action involving allegations of breach of consumer protection statutes arising from the vehicles’ emissions systems.
  • Obtained dismissal of putative class action against public school district arising from claims of failure to remediate unsafe conditions on school property.
  • Obtained summary judgment on behalf of logistics industry client to enforce indemnification provisions against a vendor, entitling it to recoup all fees and costs incurred.
  • Negotiated favorable settlement in preliminary injunction proceedings to enforce employment and confidentiality agreements on behalf of client whose key employee resigned to work for competitor.

Corporate

  • Directed end-to-end negotiations as lead counsel for a global master services agreement and associated regional agreements between client and an international fintech company, addressing cross-border payment processing, regulatory, and operational considerations.
  • Negotiated complex enterprise data licensing agreement, including comprehensive cybersecurity and global privacy provisions, for cross-border sharing, processing, and receipt of proprietary information.

AI

  • Negotiated contracts for the procurement of artificial intelligence and machine l earning-based tools, addressing emerging issues related to data use, model training restrictions, intellectual property protection, and the ownership of AI-generated outputs to preserve client value.
  • Counseled client on AI governance frameworks and deployment strategies.
